MERDOX LABS – TERMS & CONDITIONS
1. Payment Terms
All invoices are payable within 14 days from the invoice date unless otherwise agreed in writing. Work will commence only after receipt of the agreed advance payment.
2. Advance Payment
A non-refundable advance payment is required before starting any project. The standard structure is:
- 50% upfront
- 50% before final delivery
3. Late Payments
Late payments may incur a charge of 1.5% per month on the outstanding amount. Merdox Labs reserves the right to suspend services if payment is delayed beyond 7 days.
4. Scope of Work
The invoice covers only the agreed scope. Any additional features, changes, or requests will be quoted and billed separately.
5. Delivery & Deployment
Final delivery, deployment, or system access will only be provided after full payment is received.
6. Support & Maintenance
Support services are provided only under an active support agreement or AMC. Support is billed separately unless explicitly included.
7. Client Responsibilities
The client must provide all required information, approvals, and access on time. Delays from the client side may impact delivery timelines.
8. Refund Policy
All advance payments are non-refundable. Completed work and delivered services are not eligible for refunds.
9. Intellectual Property
Ownership of the final deliverables will be transferred to the client only after full payment is received. Merdox Labs retains the right to reuse general knowledge, frameworks, and non-confidential components.
10. Confidentiality
Both parties agree to keep all business and technical information confidential unless required by law.
11. Liability Limitation
Merdox Labs will not be liable for any indirect, incidental, or consequential damages arising from the use of delivered solutions.
12. Termination
Merdox Labs reserves the right to terminate services in case of non-payment or breach of terms. Any completed work up to that point will be billed.
13. Governing Law
These terms are governed by the laws of Sri Lanka.
14. Acceptance
Payment of this invoice constitutes acceptance of these Terms & Conditions.
